A-1 · About BuildTrack and the Platform
BuildTrack Infrastructure Systems Limited ("BuildTrack", "we", "us") operates a technology platform providing milestone-based escrow administration, independent construction progress verification, and related digital services for real estate development projects in Nigeria (the "Platform"). Funds committed to projects on the Platform are held in escrow with a licensed partner institution and released in tranches only upon certification of construction milestones by COREN/NIQS-registered Independent Project Monitors ("IPMs"), with every verification event recorded on a tamper-evident blockchain audit trail.
If you use the Platform on behalf of a company or organisation, you warrant that you have authority to bind that entity to these Terms. BuildTrack may update these Terms at any time; material changes will be notified by email and in-platform notice at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
A-2 · Definitions
- "Developer" — a real estate development entity onboarded to list and execute projects on the Platform.
- "Investor" — any person, including diaspora investors, committing funds to a project through the Platform's escrow structure.
- "IPM" — an Independent Project Monitor registered with COREN or NIQS and engaged through the Platform to verify construction milestones.
- "Escrow Trustee" — the licensed financial institution holding project funds under the tripartite escrow arrangement.
- "Milestone" — a defined stage of construction under the five-milestone framework, the certification of which triggers a tranche release.
- "User" — any Developer, Investor, IPM, or other person accessing the Platform.
A-3 · User Registration and Account Obligations
Users must be at least 18 years old and legally capable of entering binding contracts. Registration requires accurate, current and complete information, and completion of identity verification (KYC) which may include BVN/NIN validation through NIBSS. You are responsible for safeguarding your login credentials and for all activity under your account. You must notify us immediately of any unauthorised access via admin@buildtracknigeria.com.
A-4 · Platform Services — Overview
The Platform provides: (a) milestone-escrow administration; (b) IPM engagement and verification workflows; (c) a blockchain-recorded audit trail of project events; (d) Developer subscription tools; (e) a diaspora investor tier with enhanced reporting; and (f) related data, notification and reporting services. BuildTrack is a technology and verification infrastructure provider. BuildTrack is not a bank, does not take deposits, does not provide investment advice, and does not itself carry out construction.
A-5 · Milestone-Escrow Services
Project funds are paid directly into the designated escrow account held by the Escrow Trustee — not to BuildTrack and not to the Developer. Releases follow the five-milestone framework agreed at project onboarding. A tranche is released only when the assigned IPM certifies the corresponding milestone through the Platform's dual-key release protocol. Where an IPM declines certification, the tranche remains in escrow pending remediation and re-inspection, or resolution under Clause A-16.
BuildTrack administers the escrow workflow but does not hold User funds on its own balance sheet. Escrow funds are held by the licensed Escrow Trustee under a tripartite agreement between the Investor(s), the Developer, and the Trustee.
A-6 · Independent Project Monitor (IPM) Services
IPMs are independent professionals registered with COREN or NIQS, engaged through the Platform's IPM marketplace. IPMs certify milestones based on physical inspection against approved drawings and specifications. IPMs act in their independent professional capacity; BuildTrack is not vicariously liable for IPM acts or omissions, but maintains removal and sanction triggers for misconduct, fraud, conflict of interest, or loss of professional registration.
A-7 · Investor and Developer Obligations
Investors
Investors acknowledge that real estate development carries risk, including construction delay, cost escalation, Developer default, and market risk; that escrow and verification reduce but do not eliminate these risks; and that capital committed is at risk. Diaspora investors additionally acknowledge currency and FX repatriation risk under applicable CBN rules, and remain responsible for tax obligations in their jurisdictions of residence.
Developers
Developers must hold valid corporate registration and project approvals, provide accurate project documentation, execute milestones in accordance with approved drawings, grant IPMs unimpeded site access, and refrain from any conduct designed to mislead Investors, IPMs, or BuildTrack. Developers must comply with the FCCPA 2018 in all representations made to consumers through or in connection with the Platform.
Anti-Money Laundering
All Users consent to customer due diligence under the Money Laundering (Prevention and Prohibition) Act 2022 and applicable CBN AML/CFT guidelines, including BVN/NIN verification and the reporting of suspicious transactions to the NFIU where required by law.
A-8 · Fees, Payments and Revenue
- Escrow management fee: 2.5% (flat) of funds administered per project.
- Developer entry fee: ₦150,000 (one-time, payable on onboarding).
- Developer annual maintenance fee: ₦50,000 per year, from the first anniversary of onboarding.
- Investors and homebuyers: free — no subscription or access fees for diaspora investors, local investors, or homebuyers. The diaspora premium tier, including enhanced reporting, is currently provided at no charge.
- IPM marketplace commission: 5% of IPM engagement fees.
- Founding Developer Cohort: the one-time entry fee is waived for the first 30 developers admitted into the cohort. The standard Developer fee schedule applies to all developers onboarded after the cohort is filled.
Payments are processed via licensed channels including Paystack, Flutterwave and NIBSS Instant Payment. Fees are stated exclusive of VAT, which is applied where required by law. Entry and maintenance fees are non-refundable except where required by the FCCPA 2018 or expressly stated otherwise.
A-9 · Prohibited Uses and Conduct
Users must not use the Platform for: fraud or misrepresentation; money laundering, terrorist financing or Ponzi-type schemes; hacking, denial-of-service attacks, reverse engineering or other offences under the Cybercrimes Act 2015; manipulation of verification workflows or the audit trail; unlicensed financial services activity; harassment or abuse of other Users or IPMs; impersonation; or any use contrary to the laws of Nigeria including the EFCC Act, NDPA 2023 and ISA 2025.
A-10 · Intellectual Property
All Platform intellectual property — including source code, verification workflows, blockchain architecture, designs, and the BuildTrack name and marks (trademarked) — belongs to BuildTrack Infrastructure Systems Limited. Users grant BuildTrack a non-exclusive, royalty-free licence over content they upload, solely for service delivery. Aggregated and anonymised platform data belongs to BuildTrack. Feedback may be used without compensation obligation.
A-11 · Third-Party Services and Integrations
The Platform integrates third-party services including NIBSS (identity verification), Paystack and Flutterwave (payments), WhatsApp Business API (consent-based notifications), and the Hyperledger Fabric network (audit trail). Use of these services within the Platform is subject to this Agreement; standalone use of third-party services is governed by their own terms.
A-12 · Warranties and Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". REAL ESTATE INVESTMENT INVOLVES RISK, INCLUDING POSSIBLE LOSS OF CAPITAL. BUILDTRACK DOES NOT GUARANTEE THE COMPLETION OF ANY CONSTRUCTION PROJECT OR THE PERFORMANCE OF ANY DEVELOPER.
BuildTrack targets 99.5% Platform availability and will give reasonable notice (ordinarily 48 hours) of planned maintenance, but does not warrant uninterrupted or error-free operation.
A-13 · Limitation of Liability
To the fullest extent permitted by law, BuildTrack excludes liability for indirect or consequential loss, lost profits, loss of data, Developer project failure or breach, IPM professional negligence, Escrow Trustee insolvency, force majeure, government or regulatory action, and exchange-rate movements. BuildTrack's aggregate liability to any User shall not exceed the greater of (a) the total fees paid by that User in the twelve months preceding the claim, or (b) ₦500,000.
FCCPA 2018 preserved rights: Nothing in these Terms limits any mandatory rights you hold under the Federal Competition and Consumer Protection Act 2018 or other applicable consumer protection law. Where any limitation in these Terms conflicts with a mandatory FCCPA 2018 right, the FCCPA 2018 prevails.
A-14 · Indemnification
You agree to indemnify and hold harmless BuildTrack, its directors, officers, employees and agents against claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of applicable law, or your infringement of third-party rights, except to the extent caused by BuildTrack's own negligence or wilful misconduct.
A-15 · Suspension, Termination and Account Closure
BuildTrack may suspend or terminate accounts for material breach, fraud, unlawful conduct, failed KYC, or regulatory requirement — with notice where practicable. Users may close their accounts at any time, subject to completion or orderly transfer of active escrow obligations. Funds held in escrow at termination remain governed by the tripartite escrow agreement and are not forfeited by account closure. Clauses relating to intellectual property, liability, indemnity, and dispute resolution survive termination.
A-16 · Dispute Resolution and Governing Law
Internal complaints
All disputes must first be submitted to BuildTrack's internal complaints process via admin@buildtracknigeria.com. BuildTrack will acknowledge receipt within 5 business days and provide a substantive response within 20 business days.
FCCPC referral
Where a dispute involves an alleged breach of consumer protection rights under the FCCPA 2018 and is not resolved within 30 days, you may refer the matter to the Federal Competition and Consumer Protection Commission via complaints.fccpc.gov.ng. BuildTrack will cooperate fully with any resulting investigation.
Arbitration
Disputes not resolved through the above processes shall be submitted to binding arbitration under the Arbitration and Mediation Act 2023, seated in Abuja, Nigeria, conducted in English. The award shall be final and binding. Either party may seek urgent injunctive relief from a court of competent jurisdiction.
Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria, including the FCCPA 2018, NDPA 2023, ISA 2025, CAMA 2020 and the Arbitration and Mediation Act 2023.
A-17 · General Provisions
These Terms, together with the Privacy Policy and any project-specific agreements, constitute the entire agreement between you and BuildTrack regarding the Platform. If any provision is held invalid, the remainder continues in force. No waiver of any breach is a waiver of any other breach. You may not assign your rights under these Terms without BuildTrack's written consent; BuildTrack may assign in connection with a corporate reorganisation, including the Delaware holding structure, subject to applicable law.
